Whistleblowing Policy
1. Principle
Malaysia Pacific Corporation Berhad (“the Company”) and its subsidiaries (“the Group”) are committed to the highest standard of corporate governance and integrity. The Group encourages all stakeholders to report genuine concerns pertaining to fraud, improper conduct and illegal acts which are against the interest of the Group.
2. Objective
The objectives of the policies are:
a. To promote and maintain transparency, integrity, accountability.
b. To promote good corporate governance practices at all time.
c. To provide avenue for stakeholders to raise genuine concerns or reporting through appropriate channel.
d. To ensure the confidentiality of whistleblower.
e. To conduct transparent investigation and impartiality actions of dealing the reported concerns matter.
f. To promote healthy workplace and corporate culture.
3. Scope of the policy
The policy is to facilitate the whistleblower to report any misconduct through appropriate channel. Such misconducts include the following;
a. Manipulating of financial reporting
b. Fraud
c. Criminal offence
d. Corruption, bribery
e. Sexual harassment
f. Breach of trust
g. Unfair treatment
h. Non compliance of regulatory requirement
i. Conflict of interest
j. Misuse of confidential information; and
k. Others could constitute of misconduct under the Company’s code of conduct and ethics or any criminal offence under penal code of legislation.
4. Confidentiality
The information of Whistleblower will be kept confidential. Consent of whistleblower will be sought, if there is a need to disclose their information for investigation purposes.
5. Acting in good faith
The Group expects all stakeholders to act in good faith. Any reported allegation must be valid and sustainable without acting on personal gain. If the allegation is proven with malicious intention, the parties responsible may be subject to appropriate action, up to and including legal action, where applicable.
6. Protection
The Group assures that the whistleblower that reports issues of concern will be protected from any adverse impact on their employment or relationship with the Group, provided the allegation is made in good faith without malice. Any retaliation against the whistleblower who reported in good faith may be subject to appropriate action, up to and including legal action, where applicable.
7. Action
All reports will be investigated promptly by Audit and Risk Management Committee (ARMC). If required, the ARMC may appoint internal auditor of the Group or an independent party to carry out the investigation. Upon completion of the investigation, appropriate course of action will be recommended by the ARMC to the Board of Directors to deliberate and action.
8. Whistleblower channel
The whistleblower is required to lodge their report to the Audit and Risk Management Committee and details as follows;
